1. DEFINITIONS

Hundred Days: Hundred Days, having its corporate seat at Aalsmeerweg 18-2hoog in Amsterdam, registered with the Dutch Chamber of Commerce with registration number 68387008

Coachee: A natural person (natuurlijk persoon) to which Hundred Days provides coaching services
Services: Coaching, consultancy- and training activities as well as activities related thereto carried out by Hundred Days for the benefit of the Client

Proposal: A proposal that was sent by Hundred Days to a (potential) Client, including a description of the activities envisaged, a fee estimate and each parties' obligations

Client Agreement: A natural person or legal person with whom Hundred Days has an Agreement or to which Hundred Days made a Proposal 
Conditions: An agreement between Hundred Days and the Client, including arrangements with respect to the provision of Services

2. APPLICABILITY

2.1 The Conditions apply to all Proposals, Agreements and any other agreements under which Hundred Days offers its Services to the Client.
2.2 These Conditions are also applicable to Agreements under which Hundred Days provides services to third parties.

2.3 Client and Hundred Days may deviate from these Conditions, provided that this has been agreed upon in writing.

2.4  General terms and conditions or other conditions used by Client are only applicable to the Agreements with prior written approval of Hundred Days.

2.5  These Conditions also apply to any additional services or activities Hundred Days may provide to Client.

3. PAYMENT TERMS

3.1 Hundred Days sends an invoice in respect of the Services prior to commencement thereof.

3.2 The payment term of Hundred Days is 14 (fourteen) days from the date of the invoice, unless Client and Hundred Days have agreed on other terms in writing.

4. PROPOSALS

4.1 All Proposals are non-binding. Proposals are valid for 14 (fourteen) days, unless Client and Hundred Days have agreed on another period.

4.2 Prices mentioned in the Proposal are exclusive of VAT, disbursements, such as travel expenses and preparation time.

4.3 An Agreement is executed by means of acceptance of the Proposal within the term as stated in Clause 4.1.

4.4 Client may accept the Proposal by signing the Proposal or otherwise notify Hundred Days in writing that it wishes to accept the Proposal.
 

5. CONFIDENTIALITY

5.1 Coach sessions and trainings will remain confidential.

5.2 Hundred Days will treat all information it receives under the Agreement as confidential information, unless it is required by any laws, regulations or notices of competent governmental authorities to make any information public or in the event that in all reasonableness (in alle redelijkheid) there are other circumstances that justify publication of such information.

6. THE AGREEMENT

6.1 Hundred Days, its Client and Coachees will take all efforts to ensure that Hundred Days is able to provide its services.

6.2 Hundred Days remains the right to terminate the Agreement in the event that the respective Client or Coachee does not comply with its obligation under Article 6.1 above.

6.3 In the event that Hundred Days deems it necessary, it may involve third parties to provide its Services under the Agreement.

6.4 Client shall provide Hundred Days will all information that Hundred Days in all reasonableness requires for providing it Services under the Agreement at least 48 hours prior to the scheduled meeting.

7. CANCELLATION

7.1 Hundred Days has a cancellation period of 72 hours. In the event that a training, coaching session or other scheduled meeting is cancelled less than 72 hours prior to the starting thereof, Client shall pay Hundred Days the full amount of the cancelled meeting.

8. PAYMENT

8.1 Client may comply with its payment obligations by payment of the full amount by means of transferring it within 14 days (unless agreed upon an alternative payment term in writing between Hundred Days and the Client) to the bank account of Hundred Days.

8.2 In the event the Client does not comply with its payment obligations, Hundred Days may charge statutory interest (wettelijke rente) in addition to the original amount.

9. TERMINATION

9.1  In the event that Client or Coachee do not fulfil their respective obligations under article 6.1 above, Hundred Days is entitled to terminate the Agreement.

9.2 Client is entitled to terminate the Agreement, provided that:

whereby "sum" shall mean the total amount charged for the appointments that are cancelled due to the termination by the Client or Coachee.
 

a. if Client terminates the Agreement at the latest 14 days prior to start of the first appointment, it shall pay 30% of the sum;

b. if Client terminates the Agreement at the latest 7 days prior to the start of the first appointment, it shall pay 50% of the sum; and

c. if Client terminates the Agreement at the later than 72 hours prior to the start of the first appointment, it shall pay 100% of the sum.
 

9.3  The Agreement terminates automatically without further notice in the following events:

a. Client has been declared bankrupt or is otherwise subject to insolvency proceedings;

b. Client does not fulfil its obligations under the Agreements or the Terms and Conditions;

c. Client is no longer authorized to enter into transactions; and

d. Death of the Client.

10. LIABILITY

10.1 Hundred Days is not liable for any damages arising from the Agreement, unless it is a proven wrongful misconduct by Hundred Days.

10.2 The maximum liability of Hundred Days under the Agreement is EUR 5,000.
 

11. INTELLECTUAL PROPERTY

11.1 Hundred Days is the owner of all intellectual property rights in respect of the training materials and the content of all trainings and coaching sessions.

11.2 Without prior written approval of Hundred Days, Client may not use any materials of trainings and coaching sessions as well as the content thereof for other purposes.
 

12. APPLICABLE LAW

12.1 All Agreements and other legal acts (rechtshandelingen) between Hundred Days and Client are governed by the laws of the Netherlands.

12.2 In the event of any dispute arising, Hundred Days and the Client try to solve such dispute in good terms.

12.3 The competent court in the event of any disputes is the court of Amsterdam, the Netherlands.
